The Impact You'll Make in this Role Key Responsibilities M&A Transaction Support - Coordinate and manage all aspects of M&A transactions, including due diligence, document collection, and closing logistics. - Draft, review, and organize transaction documents such as resolutions, closing certificates, and ancillary agreements. - Prepare and maintain checklists, signature packets, and closing binders. - Assist with the preparation and filing of regulatory documents and post-closing compliance items. - Liaise with internal and external stakeholders, including attorneys, clients, and regulatory agencies, to ensure timely completion of transaction milestones. Project Management - Develop and maintain project plans and timelines for M&A transactions. - Track progress, identify risks, and proactively resolve issues to keep projects on schedule. - Coordinate cross-functional teams and manage communication among all parties involved. - Oversee the organization and management of virtual data rooms and transaction databases. - Support post-closing integration activities and monitor completion of outstanding deliverables. - Prepare summaries, reports, and presentations for attorneys and business leaders. Corporate Governance & Compliance - Maintain and organize corporate records, charters, bylaws, and policies in accordance with document retention requirements. - Support the preparation and filing of annual reports, statements, and other regulatory documents. - Assist with the formation, maintenance, and dissolution of legal entities as required. Your Skills and Expertise To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications: - Bachelor's degree and/or Paralegal Certificate from an accredited program. - Strong organizational, communication, and analytical skills. - Proficiency with Microsoft Office Suite and legal document management systems. - Ability to work independently and collaboratively in a fast-paced, deadline-driven environment. Additional qualifications that could help you succeed even further in this role include: - Experience with virtual data rooms and M&A project management tools. - Familiarity with securities filings and public company compliance. - Strong attention to detail and ability to manage multiple priorities. Applicable to US Applicants Only:The expected compensation range for this position is $82,370 - $100,675, which includes base pay plus variable incentive pay, if eligible. This range represents a good faith estimate for this position. The specific compensation offered to a candidate may vary based on factors including, but not limited to, the candidate's relevant knowledge, training, skills, work location, and/or experience.
